TFP Licence for use
The TFP Licence for Use (Licence)is intended to be use in conjunction with the TFP Contract agreed to by the model. The Licence allows the content created in any particular TFP shoot to be used for commercial purposes by either the client or the photographer for a specified period of time.
Licence Scope
Where normally a TFP Contract prohibits any financial gain from a shoot by either the client or the photographer, with neither the client nor photographer being able to sell images commercially. Under this Licence, this prohibition is forgone for a specific period of time. After this period of time has elapsed, TFP Contract rules come back into effect, with neither party being able to sell any further images.
The licence is specific to any one particular shoot. It is not intended to be used as a “blanket” licence should more than one shoot be conducted on different dates. For simplicity, should a shoot be split across a couple of sessions, all sessions deemed to be part of that shoot are captured under this agreement.
The licence is exclusive to the client and photographer and is not transferrable to any third party.
Licence Period
This Licence will last for a period of 6 months.
The time begins from the day of delivery of images by the photographer. The delivered date specifically refers to the date the photographer has uploaded the final edited images to the online gallery and has notified the client of their delivery.
Notification refers to the email sent from the online gallery to the email address provided by the model. It is the model’s responsibility to check their emails for any notification of uploaded images. No extensions to the Licence will be granted on the basis that a client has not checked their emails and a part of the licence period had already elapsed.
After the period of 6 months has elapsed, the images revert back to the original TFP Contract status, whereby they can only be used for portfolio/marketing purposes. All copies from digital subscription platforms are to be pulled down and no longer can be sold under any circumstances.
Lincence permissions
The Licence allows any commercial usage, including print, digital and digital subscription platforms.
Licence Limitations
The Licence grants distribution and sale rights ONLY.
The Licence does not grant;
the transfer of copyright from the photographer. The photographer retains the copyright throughout.
permission to alter of images from their original and final deliverable. No filters, colour alterations or further editing is permitted without seeking specific approval from the photographer. Two exceptions being;
Cropping of an image and using only a part of it
Altering the image from colour to b&w
Confirmation
Client affirms that;
the Client is over the age of eighteen (18) years and has the right to contract in their own name; and
the Client has not entered into any prior agreements that would constitute this contract invalid (ie Model Agency Restrictions, Publishing restrictions, exclusivity with another photographer and/or studio etc); and
copyright, moral rights, and all other intellectual property rights to the Images, wholly or in part, belong to the Photographer. Any transfer of rights is not permitted without the prior written consent by the Photographer; and
the Client has read this contract prior to submitting it, and fully understands the contents of this contract.
